Terms of Service
These Terms of Service ("Terms") govern your access to and use of NOHM LLC's website(s), mobile application(s), and related services (the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
A. Eligibility; Account; Authority
You must provide accurate information, maintain the security of your account credentials, and promptly update information as needed. You are responsible for all activity under your account. If you use the Services on behalf of an entity, you represent you have authority to bind that entity.
B. Nature of the Services; No Emergency Services
The Services provide tools for account verification, service requests, service updates, records, and customer support communications, and may facilitate connections between users and independent service providers. NOHM is not an emergency services provider. For emergencies or immediate life-safety issues, call 911.
C. Independent Service Providers; No Employment Relationship
Unless NOHM expressly states otherwise in a separate written agreement, service providers who receive work or requests through the Services are independent third parties and are not employees, agents, partners, joint venturers, or representatives of NOHM. NOHM does not supervise, direct, control, or manage providers or their work. NOHM does not guarantee outcomes, schedules, pricing, workmanship, code compliance, licensing, insurance, bonding, or suitability.
C.1 Pricing; Estimates; AI Suggestions
Unless NOHM expressly states otherwise in a separate written agreement, service providers set their own prices and are solely responsible for quotes, estimates, invoices, taxes, permits, and compliance. Any pricing guidance, estimates, ranges, "suggested prices," or AI-generated recommendations displayed by NOHM are informational tools only, may be incomplete or inaccurate, and do not constitute a binding quote, promise, warranty, or guarantee. Final pricing, scope, and schedule are determined by the service provider and the user. Users are responsible for reviewing and approving any quote or invoice before authorizing work.
C.2 Background Checks; Verification; No Guarantee
NOHM may offer screening, verification, credential checks, license checks, or background checks of service providers through NOHM and/or third-party vendors. Screening results may be limited by data availability, jurisdictional reporting, timing, name/identity matching, sealed/expunged records, and other factors. Screening does not guarantee that a provider is safe, qualified, insured, licensed, or suitable for a particular job and does not eliminate risk. NOHM does not warrant the accuracy, completeness, or timeliness of screening results.
C.3 No Reliance
You agree you will not rely solely on any NOHM estimate, suggested price, scoring, ranking, trust score, screening result, badge, review, or recommendation (including AI-generated outputs) and you will use independent judgment.
C.4 No Responsibility for Provider Conduct; Assumption of Risk
You acknowledge and agree that providers are independent third parties and that NOHM is not responsible or liable for any acts or omissions of any provider, including negligence, misconduct, or criminal acts, and including threats, harassment, assault, theft, property damage, personal injury, or death arising out of or related to a provider's conduct or performance. Your interactions with providers are at your own risk, and you are solely responsible for exercising reasonable judgment and taking appropriate precautions.
C.5 No Warranty; No Guarantee of Safety, Quality, or Outcomes
NOHM makes no representations or warranties regarding any provider, including safety, trustworthiness, qualifications, licensing, insurance, bonding, workmanship, code compliance, pricing fairness, availability, or fitness for any purpose. Any screening, verification, badges, rankings, or trust scores are informational only and do not constitute an endorsement or guarantee.
C.6 Safety Guidance
You are responsible for job-site safety and appropriate precautions, including not allowing entry if you feel unsafe, securing valuables, and controlling pets and premises conditions.
D. Communications; SMS Consent
By entering your mobile number in the Services, you agree to receive text messages from NOHM LLC about your own account and service activity: login codes, job updates, rental and lease steps, and account notices. Homeowners also get one thank-you text after their first paid service, with a request for an app review and a note about Invite a Neighbor; NOHM sends no other marketing texts. Message frequency varies. Message & data rates may apply. Reply STOP to opt out, START to opt back in, and HELP for help. Consent is not a condition of purchase. If you give NOHM another person's number (for example, for a tenant invite or an application link), you confirm that person asked for the text and agreed to receive it. E. Acceptable Use
You agree not to: misuse the Services; attempt unauthorized access; interfere with operation; transmit unlawful, harmful, or deceptive content; harvest data; evade enforcement; or violate any applicable law, regulation, or third-party rights.
E.1 Intellectual Property; Ownership
The Services, including all software, code, models, workflows, designs, text, graphics, logos, trademarks, and all related intellectual property and proprietary rights, are owned by NOHM or its licensors and are protected by applicable laws. NOHM grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal or internal business use in accordance with these Terms. Except for this limited license, no rights are granted, and you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as permitted by law.
E.2 User Content; License to NOHM
You may submit content through the Services, including messages, request details, notes, photos, ratings, reviews, and other materials ("User Content"). You retain any ownership rights you may have in User Content. You grant NOHM a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, display, perform, modify (for formatting/compatibility), and use User Content solely to operate, provide, secure, improve, and enforce the Services, including sharing with providers and other users as necessary to fulfill requests and communications.
E.3 Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant NOHM the right to use them without restriction or compensation.
E.4 Privacy Policy Incorporated
Your use of the Services is also governed by NOHM's Privacy Policy, which is incorporated into these Terms by reference.
F. Payments; Third-Party Processors
Certain features may involve fees or charges. Payments may be processed by third-party processors; you agree to their applicable terms. NOHM may receive limited payment metadata and confirmations but does not store full card numbers.
Financing options, where offered, are provided by Affirm and its lending partners through Stripe. Eligibility, terms and approval are decided by the lender, under the lender’s own terms. NOHM does not make credit decisions or collect credit applications, and NOHM adds no surcharge for choosing to pay over time.
G. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOHM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOHM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. NOHM SHALL NOT BE LIABLE FOR ANY PERSONAL INJURY, DEATH, ASSAULT, THEFT, OR PROPERTY DAMAGE ARISING OUT OF OR RELATING TO THE ACTS OR OMISSIONS OF ANY PROVIDER OR OTHER THIRD PARTY.
H. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOHM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOHM'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED (i) THE AMOUNT YOU PAID TO NOHM FOR THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (ii) $100, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
I. Indemnity; Third-Party Claims
You agree to defend, indemnify, and hold harmless NOHM, its affiliates, and their officers, directors, employees, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your interactions with any provider or other user; (c) any work performed by a provider for you or on your behalf; (d) your content, instructions, property conditions, or failure to maintain a safe environment; (e) your violation of these Terms or any law; provided, however, that this indemnity does not apply to the extent a claim is finally determined to have been caused by NOHM's gross negligence or willful misconduct where such limitation is required by law.
J. Dispute Resolution; Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY; IT AFFECTS YOUR RIGHTS.
(1) Informal Resolution First. Before starting arbitration, you agree to send a written notice describing the dispute and your requested relief to NOHM at Admin@nohm.app and allow sixty (60) days for informal resolution.
(2) Agreement to Arbitrate. If we cannot resolve the dispute informally, you and NOHM agree that any dispute, claim, or controversy arising out of or relating to the Services or these Terms (including their formation, performance, breach, enforcement, interpretation, validity, or termination) will be resolved by final and binding arbitration, except as stated in Section J(5).
(3) Arbitration Rules; Administrator; Location. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or other applicable AAA rules). The arbitration will be conducted in Pulaski County, Arkansas, unless you and NOHM agree otherwise, or unless the arbitrator determines a different location is required by law. The arbitrator may award any relief that a court could award, but only on an individual basis, and must follow these Terms as a contract.
(4) Fees. Payment of arbitration fees will be governed by the AAA rules and applicable law. If required by law, NOHM will pay certain fees; otherwise fees will be allocated as the arbitrator determines under the rules. Each party will bear its own attorneys' fees and costs unless the arbitrator awards fees under applicable law.
(5) Exceptions; Small Claims; Injunctive Relief. Either party may bring an individual claim in small claims court if it qualifies and remains in that court. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to prevent imminent harm (including to protect security, intellectual property, or prevent fraud/abuse) pending completion of arbitration.
(6) CLASS ACTION WAIVER. YOU AND NOHM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
(7) Jury Trial Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND NOHM WAIVE ANY RIGHT TO A TRIAL BY JURY.
(8) Opt-Out Right. You may opt out of arbitration and the class action waiver by sending written notice to Admin@nohm.app within thirty (30) days of the date you first accept these Terms, stating your name, the account phone/email, and "I opt out of arbitration." If you opt out, Sections J(2), J(3), J(6), and J(7) will not apply to you.
K. Termination; Suspension
NOHM may suspend or terminate access to the Services at any time if we believe you violated these Terms, created risk, engaged in fraud/abuse, or as required by law. You may stop using the Services at any time.
L. Changes to Services or Terms
We may modify the Services or these Terms from time to time. Continued use after changes become effective constitutes acceptance of the updated Terms.
M. Governing Law
These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-laws principles, except that the Federal Arbitration Act ("FAA") governs the interpretation and enforcement of Section J.
N. Venue for Non-Arbitrable Matters
For any dispute not subject to arbitration, you agree to exclusive jurisdiction and venue in the state or federal courts located in Pulaski County, Arkansas, and you consent to personal jurisdiction there.
